USER AGREEMENT for the NetCharge Payment Solution (NCPS)

By viewing and/or using the NCPS, you are agreeing to all of the terms and conditions explained below. Do not use the NCPS if you do not agree to all of the following terms and conditions.

Personal Information: You will be required to provide certain kinds of personal information on the NCPS in order to provide payment services. The Information that you provide on the NetCharge System (this Website) is kept absolutely private. Neither your name nor anything about you is sold or shared with any other non-affiliated company or agency other than the 3rd party financial processing vendor used for making financial payments. Certain information must be provided to the 3rd party Vendor in order for the financial service of allowing a payment to be made on the NCPS to be provided.
Credit Card Information: Credit card information will be captured by the NCPS and provided to the 3rd party financial processing vendor for approval and processing.
Refund Policy: NetCharge, Inc. does not provide refunds to payments that have been approved and processed through this system. If a situation does arise, or a circumstance that NetCharge, Inc. warrants, as determined in its sole discretion, such action, it will do so at its own discretion.
Permitted Use: You agree that you are only authorized to visit, view and to retain a copy of pages of the NCPS for your own personal use, and that you shall not duplicate, download, publish, modify or otherwise distribute the material on the NCPS for any purpose other than to review an event or personal payment information and to make credit card payments. The content and software on the NCPS is the property of NetCharge, Inc. and is protected by U.S. trademark and copyright laws.
Disclaimers: You acknowledge that opinions and recommendations contained in the host website are not necessarily those of NetCharge, Inc. or endorsed by NetCharge, Inc. NetCharge, Inc. does not promise that the host website will be error-free, uninterrupted, nor that it will provide specific results from use of the website or any content, search or link on it. The host website and its content are delivered on an “as-is” and “as-available” basis. NetCharge, Inc. will not be liable for any damages of any kind arising from the use of this website, including without limitation, direct, indirect, incidental, and punitive and consequential damages. NetCharge, Inc. disclaims any and all liability for the acts, omissions and conduct of any third party or NetCharge, Inc. users, in connection with NetCharge, Inc. related to your use of this internet host website. Without limiting the foregoing, you may report the misconduct of users and/or third party services referenced on or included in the host website to NetCharge, Inc. which may investigate the claim and take appropriate action.
Trademarks: NetCharge, Inc. logos as well as NetCharge, Inc. design found on the NCPS are registered trademarks of NetCharge, Inc. and may be used publicly only with the written permission of NetCharge, Inc.
Ownership of Material: All materials on the NCPS are copyrighted and are protected under copyright laws. NetCharge, Inc. materials may not be reproduced, copied, edited, published, transmitted or uploaded in any way without NetCharge, Inc.’s written permission.
Copyright Policy: We will terminate the privileges of any user who uses the NCPS to unlawfully transmit copyrighted material without a written consent from NetCharge, Inc.
Links and Search Results: The host website may automatically produce search results that reference or link to third party websites. NetCharge, Inc. has no control over these websites or the content within them. By using the host website to link to another website, you agree and understand that you may not make any claim against NetCharge, Inc. for any damages or losses, whatsoever, resulting from your use of the host website link to another Website. If you have a problem with a link from the host website, please notify the host website.
Access and Interference: You agree that you will not use any robot, spider, other automatic device, or manual process to monitor or copy the NCPS pages or the content contained thereon or for any other unauthorized purpose without our prior expressed written permission. You agree that you will not use any device, software or routine to interfere or attempt to interfere with the proper working of the NCPS. You agree that you will not take any action that imposes an unreasonable or disproportionately large load on our infrastructure. You agree that you will not copy, reproduce, alter, modify, create derivative works, or publicly display any content from the NCPS without the prior expressed written permission of NetCharge, Inc.
Unauthorized Use of the Website: Illegal and/or unauthorized uses of the NCPS, including, but not limited to, unauthorized access to another users personal information, unauthorized payments made on behalf of another user, uses of spiders or other automated devise on the NCPS, will be investigated and appropriate legal action will be taken, including without limitation civil, criminal and injunctive redress.
Violation of the Terms: NetCharge, Inc. reserves the right to change these terms and conditions any time, and you must consult the most recent version of this User Agreement (not an older cached version) each time you view the Website. You understand and agree that at NetCharge, Inc.’s sole discretion, and without prior notice, NetCharge, Inc. may terminate your access to the NCPS, cancel your pending payments or exercise any other remedy available, if NetCharge, Inc. believes that the you have violated or are inconsistent with this User Agreement. NetCharge, Inc. may release user information about you if required by law or subpoena, or if the information is necessary or appropriate to release to address an unlawful or harmful activity. NetCharge, Inc. is not required to provide any refund to you if you are terminated as a User because you have violated these Terms of Use.
Limitation on Liability: Except in jurisdictions where such provisions are restricted, in no event will NetCharge, Inc. be liable to you for any indirect, consequential, exemplary, incidental, special or punitive damages, including also lost profits, even if NetCharge, Inc. has been advised of the possibility of such damages.
Disputes: The NCPS is controlled and operated by NetCharge, Inc. from its offices in the New Jersey. If there is any dispute about or involving the NCPS, by using the NCPS, you agree that the dispute will be governed by the laws of the state of New Jersey.
Indemnity: You agree to indemnify and hold NetCharge, Inc., its subsidiaries, affiliates, officers, agents and other partners and employees, harmless from any loss, liability, claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your use of the host website.
